The most important criteria is cultural fit between the organizations. Relative to JV’s both potential partners need to feel their new partner brings significant value to the relationship and that long term goals for both organizations are a fit.
In terms of search, the investment banking community can play a very valuable role as to presenting a realistic value to the seller prior to the initial bids and setting up a structured data room to allow for an efficient and effective valuation. When considering family owned or privately held companies the “realistic value” perspective can save a lot of time.
